By creating an account or using Haulion, you agree to these Terms & Conditions. If you do not agree, do not use the platform.
1. Definitions
- "Platform" — the Haulion software-as-a-service application and all associated services
- "Tenant" — a business or organisation that has registered an account
- "User" — any individual with login credentials within a Tenant's workspace
- "Tenant Admin" — the primary account holder with administrative privileges
- "Content" — data, text, files, or information entered into the platform by Tenants or Users
2. Access & Accounts
- You must be at least 18 years old and have authority to bind your organisation to these terms
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorised access to your account
- One Tenant Admin account per organisation; additional users may be added subject to your plan limits
- You must provide accurate registration information and keep it up to date
- We reserve the right to suspend accounts that violate these terms
3. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any regulations
- Upload malicious code, viruses, or any content designed to damage or disrupt the platform
- Attempt to gain unauthorised access to other Tenants' data or our systems
- Use the platform to process data relating to individuals without a lawful basis to do so
- Reverse-engineer, decompile, or attempt to extract source code from the platform
- Resell or sublicense access to the platform without prior written consent
- Use the platform in a way that could damage our reputation or impair service for other users
We reserve the right to investigate and take action — including account suspension — for violations of these terms.
4. Subscription & Payment
4.1 Plans
The platform is offered on a monthly subscription basis. Plan details, pricing, and feature limits are shown at the point of registration and in your account settings.
4.2 Billing
- Subscriptions are billed monthly in advance
- Prices are shown in GBP and exclude VAT unless stated otherwise
- Payment is due on the subscription renewal date
- Failed payments may result in account suspension after a grace period
4.3 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing period.
4.4 Cancellation & Refunds
You may cancel your subscription at any time from Settings. Access continues until the end of the current billing period. We do not offer pro-rata refunds for partial months, except where required by law.
5. Free Trial
- New Tenants receive a 14-day free trial with access to the selected plan's features
- No payment information is required during the trial
- At the end of the trial period, access will be restricted until a paid plan is activated
- Trial data is retained for 30 days after expiry before deletion
- We reserve the right to modify or withdraw trial offers at any time
6. Your Data
6.1 Ownership
You retain ownership of all Content you upload to the platform. We do not claim any intellectual property rights over your data.
6.2 Our Role
We process your data as a data processor on your behalf, in accordance with our Privacy Policy and our Data Processing Agreement (available on request).
6.3 Data Responsibility
You are the data controller for all personal data you enter into the platform (drivers, customers, employees). You are responsible for ensuring you have a lawful basis to process this data and that individuals have been informed of their rights.
6.4 Data Export & Deletion
You may request an export of your data at any time via Settings → Privacy & GDPR. Upon account termination, data will be deleted within 90 days.
7. Intellectual Property
The Haulion platform, including all software, design, trademarks, and content created by us, is our exclusive property. These terms grant you a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes during your subscription.
You may not copy, modify, distribute, or create derivative works based on our platform without express written permission.
8. Availability & Uptime
We aim to maintain high availability but do not guarantee uninterrupted access. The platform may be unavailable due to:
- Scheduled maintenance (we will provide advance notice where possible)
- Unplanned outages or technical issues
- Events beyond our reasonable control (force majeure)
We shall not be liable for losses arising from platform unavailability.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability to you for any claims arising from your use of the platform shall not exceed the total fees paid by you in the 12 months preceding the claim.
We shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Losses arising from your failure to maintain adequate backups
- Third-party actions or system failures outside our control
Nothing in these terms limits our liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
10. Termination
10.1 By You
You may cancel your account at any time via Settings. Cancellation takes effect at the end of your current billing period.
10.2 By Us
We may suspend or terminate your account immediately if:
- You breach these terms and fail to remedy the breach within 14 days of notice
- Your account is used for fraudulent or illegal activities
- Payment fails and is not remedied within the grace period
10.3 Effect of Termination
Upon termination, your access to the platform ceases. Your data will be retained for 90 days (during which you may request an export) before permanent deletion.
11. Governing Law & Disputes
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before commencing legal proceedings, we both agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days.
12. Changes to These Terms
We may update these terms from time to time. We will notify Tenant Admins by email at least 14 days before material changes take effect. Continued use of the platform after changes take effect constitutes acceptance of the revised terms.
If you do not agree to updated terms, you must stop using the platform and cancel your account before the effective date.
